The Service

Linkmyria provides software and tools to discover placement opportunities, initiate offers, coordinate outreach, and related workflows. We are a technology platform and marketplace facilitator. We are not a law firm, broker, or guarantor of publisher placement, traffic, or revenue.

Accounts

You must provide accurate information and safeguard credentials. You are responsible for activity under your account. We may suspend or terminate accounts for breach, risk, or non-payment.

Fees

Subscription plans, search limits, and payment terms are described at checkout and in-product. Fees are exclusive of taxes unless stated. Late or failed payments may result in suspension.

Acceptable use

You will not misuse the Service, including: attempting unauthorized access; spamming; scraping at scale without permission; infringing intellectual property; violating export or sanctions laws; uploading malware; or using the Service for unlawful discrimination or harassment.

Your content

You retain rights to content you submit. You grant us a license to host, process, and display it as needed to operate the Service. You represent you have rights to submit such content.

Publishers and third parties

Deals with publishers are between you and the publisher subject to separate terms. We may facilitate messaging and payments. Publisher-specific terms (including platform fees payable by publishers) are set forth in the Publisher Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR RESULTS FROM ANY PLACEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100). WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL.

Indemnity

You will defend and indemnify us against claims arising from your content, your offers, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

Termination

You may stop using the Service at any time. We may suspend or terminate access for cause. Provisions that by nature should survive will survive termination.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Courts in Delaware (or the federal courts therein) have exclusive jurisdiction, unless prohibited by applicable law.

We may modify these Terms. Material changes will be posted with an updated date. Continued use after the effective date constitutes acceptance.

Role of the platform

Linkmyria provides tools for discovery, communication, and optionally payment facilitation. We are not a party to your agreement with advertisers except as expressly stated in an order form or payment authorization. You are responsible for your own editorial, legal, and tax compliance.

Payment and settlement

Where we process or route payments, the platform fee may be deducted from amounts received, invoiced separately, or charged as set forth in the payment flow. You authorize us to charge or offset such fees. You are responsible for providing accurate payout details and tax information.

Representations

You represent you have authority to bind your publication or property and that placements you accept comply with applicable law, your policies, and any agreements with advertisers.

Content and conduct

You will not use the Service to distribute malware, defraud users, or violate intellectual property or privacy rights. You may mark commercial content in accordance with applicable disclosure rules.

Confidentiality

Non-public information about advertisers or deal terms obtained through the Service must be kept confidential except as needed to perform the placement or as required by law.

Termination

Either party may stop using publisher features as permitted in-product. We may suspend access for breach, legal risk, or non-payment of fees owed to us.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINKMYRIA'S AGGREGATE LIABILITY ARISING OUT OF THESE PUBLISHER TERMS SHALL NOT EXCEED THE PLATFORM FEES PAID BY OR ON YOUR BEHALF TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

What Linkmyria does

Linkmyria helps you discover placement opportunities, evaluate fit, confirm your offer, and coordinate outreach to publishers. We operate as a marketplace-style platform: you decide the commercial terms; we provide the workflow and, where applicable, payment rails.

No professional advice

Nothing in the Service is legal, tax, securities, or regulatory advice. You are responsible for compliance with advertising, disclosure, FTC, GDPR, CAN-SPAM, and similar obligations in your markets.

Accuracy

Rankings, scores, and estimates are generated automatically and may be incomplete or incorrect. You should verify material facts before committing budget or contractual obligations.

Third-party sites

We may link to or summarize third-party properties. We do not control those sites and are not responsible for their content or availability.
